These Terms and Conditions (the "Terms") constitute a legally binding agreement between you (the "Customer", "you", or "your") and WOLSAL S.r.l. and/or Wolsal SAS (collectively "Volta", "we", "us", or "our") governing your access to and use of the Volta AI-powered B2B sales operations platform (the "Platform" or "Services").
By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree, you must not use our Services.

2.2 Key Definitions
- "Platform" means the Volta software application and all its features
- "Services" means all services provided through the Platform
- "Customer Data" means all data you submit through the Platform
- "Subscription" means your right to access the Platform during the subscription period
- "Users" means your employees, agents, or customers authorized to use the Platform
3. Service Description
Volta provides an AI-powered B2B sales operations platform consisting of:
- Portail Client - B2B e-commerce portal for online ordering
- Portail Agent - AI-augmented sales tools with automated order processing
- Hub Opérations - Automated back-office with ERP integration
- Alta Intelligence - AI assistant for natural language processing
The Platform is provided "as is" and we do not guarantee uninterrupted operation. We will make commercially reasonable efforts to maintain availability and will provide reasonable notice for scheduled maintenance.
4. Account Registration and Security
To use the Platform, you must:
- Provide accurate and complete registration information
- Be at least 18 years of age
- Represent a legitimate business entity
- Maintain the security of your login credentials
- Promptly notify us of any unauthorized access
You are responsible for all activities under your account and must ensure all Users comply with these Terms.
5. Subscription and Payment
5.1 Fees and Billing
- Subscription fees are billed monthly or annually as selected
- All fees are exclusive of applicable taxes
- Payment is due in advance via approved payment methods
- You authorize us to charge your payment method for all fees
5.2 Price Changes
We may change subscription fees with 30 days' advance notice. Changes take effect at your next billing cycle. If you do not agree, you may cancel before the new price takes effect.
5.3 Late Payment
If payment is overdue, we may suspend your access. You will be liable for all collection costs. Subscription fees are non-refundable except as required by law.
6. Customer Data and Privacy
6.1 Data Ownership
You retain all ownership rights to your Customer Data. You grant us a limited license to process your data solely to provide the Services.
6.2 Data Processing
We process your data in accordance with:

- GDPR and applicable data protection laws
- Our Data Processing Agreement
6.3 Data Controller Relationship
- For account/billing data: we are the Data Controller
- For Customer Data you input: you are the Data Controller, we are the Data Processor
- You are responsible for lawful processing of all data you submit
6.4 Data Security and Location
We implement appropriate security measures to protect your data. All data is stored and processed in the European Union. Upon termination, we retain your data for 30 days, then delete it. You are responsible for exporting your data before termination.
7. Acceptable Use Policy
7.1 Permitted Use
Use the Platform only for legitimate B2B sales and operations purposes in compliance with these Terms and applicable laws.
7.2 Prohibited Conduct
You must not:
- Use the Platform for illegal, fraudulent, or unauthorized purposes
- Interfere with or disrupt the Platform
- Attempt unauthorized access to systems
- Transmit malware or malicious code
- Send spam or unsolicited communications
- Reverse engineer or copy the Platform
- Use the Platform to compete with Volta
- Resell or sublicense your access without consent
7.3 Enforcement
We may suspend or terminate your account, remove content, or take legal action for violations of this policy.
8. Intellectual Property
The Platform is owned by Volta and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Platform for your internal business purposes only.
You may not copy, modify, distribute, or create derivative works of the Platform. You retain ownership of your Customer Data. If you provide feedback about the Platform, we may use it without obligation to you.
9. AI and Automated Processing
The Platform uses AI to process orders from emails, messages, and documents, extract data, generate recommendations, and automate operations. While we strive for accuracy, AI-generated results may contain errors. You are responsible for reviewing and verifying all AI outputs and making final business decisions. AI features assist but do not replace human decision-making.
10. Warranties and Disclaimers
10.1 Limited Warranty
We warrant that the Platform will substantially conform to our documentation when used in accordance with these Terms.
10.2 Disclaimer
EXCEPT AS STATED ABOVE, THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee that the Platform will meet your specific requirements or result in increased sales or efficiency.
11. Limitation of Liability
11.1 Excluded Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOLTA SHALL NOT BE LIABLE FOR:
- INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
- BUSINESS INTERRUPTION OR LOSS OF GOODWILL
11.2 Liability Cap
OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) €100.
11.3 Exceptions
These limitations do not apply to liability for death or personal injury caused by our negligence, fraud, or any liability that cannot be excluded under applicable law.
12. Indemnification
12.1 Your Indemnification
You agree to indemnify Volta from claims arising from: your use of the Platform, violation of these Terms, violation of any law, your Customer Data, or infringement of third-party rights.
12.2 Our Indemnification
We will indemnify you against claims that the Platform infringes third-party intellectual property rights, provided you promptly notify us and grant us control of the defense. If infringement is found, we may: obtain rights for continued use, modify the Platform, replace it, or terminate and refund prepaid fees.
13. Term and Termination
13.1 Subscription Term
Your subscription continues for the selected period (monthly/annual) and automatically renews unless cancelled.
13.2 Termination by You
Cancel anytime through your account settings or by emailing support@voltasoftware.com. Cancellation takes effect at the end of the current billing period. No refunds for partial periods.
13.3 Termination by Us
We may suspend or terminate your access immediately if you: breach these Terms, fail to pay fees, engage in fraudulent activity, or pose a security risk. We may discontinue the Platform with 30 days' notice.
13.4 Effect of Termination
Upon termination: access ceases immediately, you must stop using the Platform, we delete your data after 30 days, and you remain liable for all fees incurred. Sections 7-9, 10-12, 15, and 16 survive termination.
14. Customer Support
We provide support via email (support@voltasoftware.com), in-platform system, and documentation. Support hours and response times vary by subscription plan.
15. Dispute Resolution
15.1 Informal Resolution
Before filing legal action, contact us at support@voltasoftware.com to attempt informal resolution.
15.2 Applicable Law and Jurisdiction
These Terms are governed by:
- Italian law for WOLSAL S.r.l. customers
- French law for Wolsal SAS customers
Disputes shall be subject to the exclusive jurisdiction of:
- Courts of Milano, Italy for WOLSAL S.r.l. customers
- Courts of Paris, France for Wolsal SAS customers
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement and supersede all prior agreements.
16.2 Amendments
We may modify these Terms by posting updated Terms on our website and notifying you via email. Material changes take effect 30 days after notice. Continued use after changes constitutes acceptance.
16.3 Assignment
You may not assign these Terms without our consent. We may assign these Terms without restriction.
16.4 Force Majeure
Neither party is liable for delays or failure to perform due to causes beyond reasonable control.

6. Data Controller vs. Data Processor
6.1 When We Are the Data Controller

6.2 When We Are the Data Processor
For customer data you manage through our Platform, you are the Data Controller and we are the Data Processor. You determine processing purposes and means, we process per your instructions, and you're responsible for lawful processing and privacy notices to your customers.

Cloud hosting, analytics, email/communication services, payment processors, and AI infrastructure providers. All providers are contractually bound to protect your data.

In case of merger, acquisition, or sale of assets, your data may be transferred to the acquiring entity with the same privacy protections.
